Tree Tok Terms of Service

1. Acceptance of Terms
These Terms of Service (the "Terms") constitute a binding agreement between you and Tree Tok governing your access to and use of the Tree Tok application and related services (collectively, the "Service"). By creating an account, you agree to be bound by these Terms.
2. What Tree Tok Is
Tree Tok provides a private, invitation-only digital space (a "Branch") in which a family or family-like group may share updates ("Check-ins"), photographs, and voice recordings, and, for Branches with an active Roots subscription, maintain a long-term archive of stories, documents, and recordings ("Roots"). The Service is invitation-only. There is no public content, no public user profiles, and no mechanism by which a Branch may be discovered by any person not invited to it.
3. Accounts and Eligibility
3.1 Minor Profiles
A child under thirteen (13) years of age may not create an individual account and may participate in the Service only through a managed profile. A managed profile may be established only by the adult who personally confirms, through their own account, that they are that child's parent or legal guardian, or otherwise hold recognized custodial authority over the child (the "confirming adult"). The confirming adult need not be the Branch Organizer. No other Branch member, including a Branch Organizer who is not the confirming adult, may establish or attest to a managed profile on a child's behalf. If no adult meeting this description is willing or able to establish and maintain the managed profile, the child may not be added to any Branch.
3.2 General Account Eligibility
Other than through a managed profile under Section 3.1, you must be thirteen (13) years of age or older to create an account.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.4 One Account Per Person
Each individual may maintain only one account. A managed profile under Section 3.1 is the sole exception to this restriction and remains under the exclusive control of the confirming adult until the profile is converted to an individual account upon the child reaching thirteen (13) years of age, or until responsibility for the profile transfers to a different confirming adult as described in Section 4.
3.5 Visibility Without Authority
A Branch Organizer who is not the confirming adult for a given managed profile retains ordinary visibility into that profile's existence as part of the Branch's membership, including the child's first name and that the profile is a managed profile, but holds no authority to create, edit, remove, or attest to that profile. Authority over a managed profile rests solely with its confirming adult.
4. Branches, Organizers, and Invitations
4.1 Branch Creation
Any user may create a Branch and shall, upon creation, be designated its Founding Organizer.
4.2 Invitations
Only an Organizer may invite new members to a Branch. Invitation links expire fourteen (14) days after issuance by default and may be revoked by an Organizer at any time prior to acceptance.
4.3 Succession
(a) Every Branch must at all times have at least one Organizer. Where a Branch has only one Organizer, the Service may periodically prompt that Organizer to designate a second Organizer or a Successor.
(b) A sole Organizer may designate an adult Branch member as a "Successor." Designation as a Successor confers no administrative rights or access unless and until the Successor role is activated under paragraph (c).
(c) The Successor role becomes available for activation upon: (i) deletion of the sole Organizer's account; (ii) the sole Organizer affirmatively stepping down as Organizer; or (iii) ninety (90) consecutive days of Organizer inactivity, provided that Tree Tok has sent at least two (2) separate stewardship check-in communications to the Organizer during that period and received no response.
(d) Upon activation under paragraph (c), the designated Successor will be offered the Organizer role. No transfer of administrative rights or access occurs automatically or silently; the Successor must affirmatively accept the offer before assuming any Organizer authority. If the offered Successor declines or does not respond, the Branch shall enter a dormant state in which existing content remains accessible to members but no new administrative action may be taken, pending manual review by Tree Tok to identify a path to restore Organizer coverage.
(e) Succession under this Section transfers only Branch administrative authority, including the member list, invitation controls, and Branch settings. It does not transfer authority over any managed minor profile, which remains governed exclusively by Section 3.1: an incoming Organizer or Successor gains authority over a managed profile only if they are themselves the confirming adult for that profile, established through their own attestation under Section 3.1.
4.4 Co-Organizers
(a) The Organizer who creates a Branch is that Branch's Founding Organizer. A Founding Organizer may promote any adult Branch member to the role of Co-Organizer.
(b) A Co-Organizer holds the same day-to-day administrative authority as the Founding Organizer, including the authority to invite members, remove members, and manage Branch settings, with one exception: a Co-Organizer may not remove, demote, or otherwise limit the authority of the Founding Organizer, and may not promote or demote any other Organizer. A Co-Organizer's authority over a managed minor profile is governed exclusively by Section 3.1 and is unaffected by Co-Organizer status.
(c) Only the Founding Organizer may remove a Co-Organizer's status or promote an additional Co-Organizer.
(d) If the Founding Organizer's account is deleted, or the Founding Organizer voluntarily steps down, and one or more Co-Organizers remain active on the Branch, the succession mechanics of Section 4.3 are not triggered; instead, the Co-Organizer with seniority automatically assumes the Founding Organizer role, together with the authority described in paragraph (c). Seniority is determined by promotion timestamp, measured to the highest available precision; if two Co-Organizers were promoted at identical timestamps, seniority is determined by lowest user ID.
(e) Designation of a Co-Organizer is independent of, and may coexist with, designation of a Successor under Section 4.3. A Founding Organizer's Successor designation remains in effect for use under Section 4.3 only where no Co-Organizer remains active on the Branch.
4.5 Removal of Members
An Organizer may remove a member from a Branch and may otherwise manage Branch settings. Removal of a member terminates that member's access to the Branch's Check-ins and Roots items but does not retroactively delete content previously contributed by that member.
5. Acceptable Use
You agree that you shall not, in connection with your use of the Service:
(a) harass, threaten, or abuse another member of the Service;
(b) upload, post, or otherwise transmit content that you do not have the right to share, or that infringes upon the intellectual property or other rights of any third party;
(c) attempt to access a Branch to which you have not been invited, or otherwise attempt to circumvent any invitation or approval control implemented by the Service; or
(d) use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Tree Tok reserves the right to suspend or terminate any account found to be in violation of this Section 5, with notice to the affected user where practicable under the circumstances.
6. Content Ownership and License
You retain ownership of all content you submit to the Service. By posting a Check-in, photograph, voice recording, or Roots item, you grant Tree Tok a limited, non-exclusive license to store, back up, and display such content solely to the other members of the applicable Branch. Tree Tok does not use member content for advertising purposes, does not sell such content, and does not disclose such content to any party outside the applicable Branch, except as required by law.
7. Roots Subscription
7.1 Pricing Structure
Roots is offered on a per-Branch basis, as a monthly subscription, an annual subscription, or as a one-time purchase ("Roots Forever") that attaches permanently to the Branch itself and survives the departure or account deletion of the purchasing member.
7.2 Shared Access
Any single Branch member holding an active Roots subscription unlocks full Roots access for all members of that Branch.
7.3 Automatic Renewal
Monthly and annual subscriptions renew automatically at the then-current price for the applicable billing cycle unless canceled prior to the applicable renewal date. A subscriber may cancel at any time through account settings; cancellation takes effect at the end of the then-current billing period.
7.4 Payment Processing
All payments are processed by Stripe, Inc. Tree Tok does not store payment card information.
7.5 Refunds
All Roots purchases, whether the monthly subscription, annual subscription, or the one-time Roots Forever purchase, are final and non-refundable, except where required by applicable law. Before purchasing, every Branch has access to the first five (5) Roots items at no cost, which allows members to evaluate the feature before committing to a paid tier. By completing a purchase, you acknowledge that this evaluation period was available to you and that no refund will be issued for a subsequent change of mind, non-use, or early cancellation. This provision applies equally to monthly and annual subscriptions, which are not refunded on a pro-rated basis if canceled mid-term, and to Roots Forever, which carries no renewal to cancel and no refund window.
7.6 Lapse of Subscription
In the event a Roots subscription lapses, no previously stored Roots content is deleted. Existing Roots items remain visible to Branch members; the Branch is simply prevented from adding items beyond the applicable free-tier limit until the subscription is renewed or a Roots Forever purchase is completed.
7.7 Founding Family Pricing
Discounted "Founding Family" pricing on Roots is available to any Branch that completes a Roots purchase, whether the annual subscription or the one-time Roots Forever purchase, on or before August 31, 2026. There is no numerical limit on the number of Branches eligible for this pricing, no application process, and no scoring or approval step; eligibility is determined solely by the timing of a completed purchase. A Branch that has not completed a Roots purchase on or before August 31, 2026 is not a Founding Family and is not entitled to Founding Family pricing regardless of when the Branch itself was created. After August 31, 2026, Roots is available only at standard, then-current pricing, for all Branches without exception. A Branch that qualifies for Founding Family pricing under this Section retains that pricing tier for the term of the applicable purchase (and, for annual subscriptions, upon renewal) regardless of any subsequent change to this Section or to the Founding Family program.
8. Children's Data and Use
Managed child profiles are created and controlled exclusively by the confirming adult described in Section 3.1. Child profiles receive no marketing communications of any kind and are excluded from all analytics and marketing systems. Only a first name and telephone number are collected in connection with a child profile; further detail is set forth in the Tree Tok Privacy Policy. A confirming adult may request removal of a child's profile and associated data at any time by contacting privacy@treetok.app.
9. Disclaimers and Limitation of Liability
The Service is provided on an "as is" and "as available" basis. Tree Tok undertakes commercially reasonable efforts to maintain the availability of the Service and the security of member content but does not guarantee uninterrupted or error-free operation. Tree Tok disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law. Tree Tok is not liable for content posted by other members of a given Branch, or for any dispute arising among members of the same Branch.
To the fullest extent permitted by applicable law, Tree Tok's total liability arising out of or relating to your use of the Service shall not exceed the total amount you paid to Tree Tok in the twelve (12) months preceding the event giving rise to the claim, and Tree Tok shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10. Termination
You may delete your account at any time through account settings. Tree Tok may suspend or terminate an account that violates these Terms. If a Branch's sole Organizer deletes their account without a Successor in place, the Branch shall enter the dormant state described in Section 4.3(d), and existing content shall remain accessible to Branch members pending resolution.
11. Modification of Terms
Tree Tok reserves the right to modify these Terms at any time. In the event of a material change, active users will be notified by email prior to the effective date of such change.
12. Governing Law
These Terms are governed by the laws of the state in which Tree Tok is organized, without regard to its conflict-of-laws principles, and any dispute arising under these Terms shall be resolved in the state or federal courts located in that state.
